1. Acceptance & Eligibility

By creating a NOW 1.1 business account or otherwise using the NOW 1.1 platform (the "Service") to promote a business, brand, product, or service, you ("Business," "you") agree to these Business Terms of Service and Privacy Policy (collectively, the "Business Terms"). If you do not agree, do not create or use a business account.

You must be at least 18 years old and have the legal authority to bind the entity on whose behalf you are registering. The Service is operated by Lemon LLC ("we," "us," "NOW 1.1").

2. Definitions

• Business Account — an account registered for the purpose of promoting a business, brand, product, service, event, or organization.
• Business Content — any text, image, logo, video, promotion, offer, or other material you submit, post, or upload through your Business Account.
• Promotion — a chatter or other Business Content created to advertise goods, services, deals, events, or information about your business.
• Consumer / Guest — an individual using NOW 1.1 in a non-business capacity, governed by the separate Consumer Terms.
• Service Area — the geographic radius (in miles) within which your promotions are visible to nearby users.

3. Account Registration & Authority

When you register a Business Account, you represent and warrant that:

• You are authorized to act on behalf of the business you are registering.
• All information you provide (business name, contact information, service area, etc.) is accurate, complete, and current.
• You will keep account credentials confidential and are responsible for all activity under your account.
• You will not misrepresent your identity, affiliations, certifications, or the nature of your business.

We may, at our discretion, require additional verification (e.g., business license, EIN, phone confirmation, physical address verification) before activating or maintaining a Business Account. Multiple businesses sharing the same name (for example, separate franchise locations) are permitted, but each must register and verify independently.

4. Permitted & Prohibited Content

You retain ownership of your Business Content. You grant NOW 1.1 a worldwide, non-exclusive, royalty-free license to host, display, store, reproduce, and distribute your Business Content solely for the purpose of operating, promoting, and improving the Service.

You agree NOT to submit Business Content that:

• Is false, misleading, deceptive, or fraudulent (including bait-and-switch offers).
• Promotes illegal goods, services, or activities under applicable federal, state, or local law.
• Infringes any third-party intellectual property, publicity, or privacy right.
• Contains hate speech, harassment, threats, sexually explicit material, or content harmful to minors.
• Promotes gambling, firearms, tobacco, vaping, cannabis (where prohibited), prescription drugs, adult content, or other regulated categories without the required licenses and disclosures.
• Impersonates another business, person, or government entity.
• Contains malware, phishing links, spam, or attempts to harvest user data outside the Service's authorized features.
• Solicits users to leave the Service for the purpose of circumventing these Business Terms.

We may remove, edit, or refuse any Business Content at our sole discretion, with or without notice.

5. Intellectual Property & Trademarks

If you upload a logo, image, brand mark, trademark, or any third-party content, you represent and warrant that you own all necessary rights or have obtained valid licenses to use and display that content through the Service.

You are solely responsible for any third-party intellectual property claims arising from your Business Content. NOW 1.1 may suspend or remove content in response to credible IP complaints in accordance with applicable law (including the DMCA where applicable).

6. Promotions & Advertising Standards

All promotions, deals, prices, and offers you post must be:

• Honest — accurately describe the product, service, price, and terms.
• Honored — available to users who present the promotion within the stated time window and conditions, subject to reasonable limits you disclose in the promotion itself (e.g., "while supplies last," "limit one per customer").
• Compliant — meet applicable consumer protection, advertising, labeling, and disclosure laws in your jurisdiction (e.g., FTC guidelines, state attorney general regulations, industry-specific rules).
• Time-bounded — promotions automatically expire after the time window you set, or after default expiry. You are responsible for updating or removing stale offers.

Failure to honor a promotion you posted may result in suspension of your Business Account and is between you and the affected customer; NOW 1.1 is not party to the underlying transaction.

7. Fees, Subscriptions & Billing

Business Accounts may be offered free, at a subscription fee, or as paid tiers. Current pricing and features applicable to your account will be presented at the time of signup or plan change, and acceptance of those terms is incorporated into these Business Terms by reference.

• Subscription fees are billed in advance on a recurring basis (e.g., monthly or annually) via the payment processor we designate (currently Stripe). You authorize automatic charges for the term you select.
• Free trials, if offered, automatically convert to paid subscriptions at the end of the trial period unless you cancel before that date.
• You may cancel a subscription at any time through your billing portal. Cancellation takes effect at the end of the current billing period; we do not provide pro-rated refunds for partial periods except where required by law.
• We may change subscription pricing on at least 30 days' notice. Continued use after the price change takes effect constitutes acceptance.
• You are responsible for any applicable sales, use, or VAT taxes on subscription fees.
• Failed payments may result in suspension of paid features after a grace period.

8. Customer Communications

NOW 1.1 includes features that allow Business Accounts to communicate with users who have opted in (for example, by "starring" your business). When you communicate with users through the Service:

• You will not send spam, unsolicited commercial messages, or excessive promotional content.
• You will honor opt-out requests promptly.
• You will not request or collect sensitive personal information (Social Security numbers, government IDs, financial account details, health information, etc.) through Service messaging.
• You will not direct users off-platform for the purpose of circumventing these Business Terms or the Service's safety features.

9. Data, Privacy & Analytics

We may provide you with aggregated and anonymized analytics about how users interact with your promotions (impressions, taps, time of day, general radius reach). We do not provide you with personally identifiable information about individual users beyond what those users voluntarily share with you through Service features (e.g., when a user initiates a chat).

If users share personal information with you directly (name, email, phone, address) through Service features:

• You are responsible for handling that information in compliance with applicable privacy and data protection laws (including GDPR, CCPA/CPRA, and other state and federal privacy frameworks where applicable).
• You will not sell, rent, or share user personal information with third parties without that user's explicit consent.
• You will implement reasonable security measures to protect user information in your possession.

NOW 1.1 collects and processes Business Account data (account info, content posted, billing data, usage data) as described in this section and in our general data practices. Billing data is processed by our payment processor under their own terms.

10. Warranties & Disclaimers

The Service is provided on an "as is" and "as available" basis. NOW 1.1 makes no warranties, express or implied, including merchantability, fitness for a particular purpose, non-infringement, or that the Service will be uninterrupted, error-free, or achieve any particular result (including any specific number of impressions, customers, or revenue).

We do not warrant the accuracy, completeness, or reliability of any user-generated content displayed alongside your Business Content. Estimated reach and analytics are approximations, not guarantees.

11. Limitation of Liability

To the maximum extent permitted by law, NOW 1.1 and Lemon LLC will not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, including but not limited to lost profits, lost revenue, lost customers, lost data, business interruption, or reputational harm, arising from or related to your use of the Service.

Our aggregate liability for any claim arising under these Business Terms will not exceed the greater of (a) the total subscription fees you paid to NOW 1.1 in the 12 months preceding the event giving rise to the claim, or (b) one hundred U.S. dollars ($100).

12. Indemnification

You agree to indemnify, defend, and hold harmless NOW 1.1, Lemon LLC, and their officers, employees, contractors, and agents from any claims, damages, losses, liabilities, costs, or expenses (including reasonable attorneys' fees) arising from:

• Your Business Content, including any claim that it infringes third-party intellectual property, is false or misleading, or violates law.
• Your failure to honor a promotion you posted.
• Your interactions with users, including any dispute about goods or services you sold or provided.
• Your breach of these Business Terms.
• Your violation of any applicable law or third-party right.

13. Termination & Suspension

You may terminate your Business Account at any time. We may suspend or terminate your access immediately and without prior notice if we believe you have violated these Business Terms, posed a risk to other users, or engaged in conduct that could expose NOW 1.1 to legal or reputational harm.

Upon termination, your Business Content may be removed and you will lose access to the Service. Sections that by their nature should survive termination (including IP, indemnification, limitation of liability, and disputes) will survive.

14. Compliance with Laws

You are solely responsible for ensuring your use of the Service and all Business Content complies with applicable laws and regulations, including but not limited to consumer protection, advertising, labeling, alcohol/tobacco/cannabis/firearms regulations (where applicable), tax, employment, health and safety, accessibility, and data protection laws. NOW 1.1 does not provide legal advice; consult counsel for questions specific to your business and jurisdiction.

15. Disputes & Governing Law

These Business Terms are governed by the laws of the State in which Lemon LLC is organized, without regard to conflict of law principles. Any dispute arising under or relating to these Business Terms will be brought exclusively in state or federal courts located in that state, and you consent to personal jurisdiction in those courts.

The parties agree to first attempt good-faith resolution of any dispute by direct communication for at least 30 days before initiating formal proceedings.

16. Changes to These Terms

We may update these Business Terms from time to time. Material changes will be communicated by email to the address on your Business Account and/or by prominent notice on the Service. Your continued use of the Service after changes take effect constitutes acceptance of the updated Business Terms.
